We have assisted our clients with mergers and acquisitions, large and small. We have experience in structuring acquisitions and de-acquisitions in a manner advantageous to our clients and taking into consideration legal, business and tax implications.
For businesses raising capital, we have experience in structuring re-capitalizations and other equity arrangements. We work with our clients to assure compliance with applicable law in connection with securities offerings and SEC and state regulatory compliance, as well.
We have also assisted clients with negotiating, drafting and reviewing capital business agreements and arrangements including joint venture agreements, licenses, sales and manufacturer=s representative agreements, distributorship agreements, confidentiality and non-competition agreements and employment agreements. We have helped our clients prepare and draft stock awards, stock options and phantom stock arrangements for key employees.
The firm has worked with many family businesses in transitioning ownership of the business to a later generation, or a corps of dedicated employees.
